Trust Deed
Name
- The name of the charity shall be 'The Cambridge World Model United Nations Trust' or such other name as the trustees may from time to time decide with the approval of the Charity Commissioners. The name 'CamWorld' shall also be taken to refer to this trust.
Object
- The object of the charity shall be: To further Model United Nations (MUN) in Cambridge, and hence to promote education about the work and roles of the United Nations and associated bodies.
- This object shall be achieved by providing financial assistance to organisations within Cambridge organising Model United Nations conferences and by providing financial assistance to individuals and groups from Cambridge and elsewhere to attend MUN conferences.
Powers
- In addition to any other powers which they have the trustees may exercise the following powers in furtherance of the objects of the charity:
- Power to raise funds and to invite and receive contributions, provided that in raising funds the trustees shall not undertake any substantial trading activities;
- Power to invest the funds of the charity in any of the investments for the time being authorised for the treatment of charity funds.
Trustees
- There shall be three trustees of the charity. These shall be the Chairman, Treasurer and Secretary of the Board of Trustees.
- Initially the posts shall be occupied by Mr. Julian Huppert, Mr. Terence J. Wells and Mr. Simon Rodgers respectively.
- The specific roles of the trustees may be switched around at any time as desired by the trustees; this shall be infrequent.
- The trustees shall remain trustees until they decide to resign their trusteeship; they should do so if they feel that they are unable to carry out their duties satisfactorily.
- In the event of a trusteeship falling vacant, a replacement shall be selected by the remaining trustees from among the associates of the charity.
- The trustees shall meet and have discussions as they deem appropriate. Suitable records shall be kept of such discussions and meetings. The trustees shall endeavour to meet in person at least once per year.
- All voting shall be performed by a simple majority vote of the trustees; the number for quorum shall be two, unless the number of trustees falls through misadventure below two, when the quorum shall be one.
Associates
- There may be associates of the charity who shall advise the trustees in carrying out the objects of the society.
- No current member of the committee of the Cambridge University Model United Nations Society (CUMUNS) or any other similar concerned body may be an associate or trustee of the charity excepting solely a Senior Treasurer of a Cambridge University Society, who may be an associate or trustee of the charity.
- Associate status may be requested by any person of good standing and with a high level of awareness of and knowledge about Model United Nations in Cambridge. The status may be granted at the sole discretion of the trustees. Associate status shall be automatically granted to any former President, Junior Treasurer, Secretary or Secretary-General of CUMUNS if they so request within one (1) year of the termination of their membership of the CUMUNS Committee.
- Associate status shall last for a period of three (3) years, and may be renewed if requested by the associate and approved by the trustees. Former trustees shall be granted indefinite associate status if they so wish.
- An associate may resign their position if they so desire; the trustees should be so informed.
- Associates shall be consulted on all expenditures of the society other than regular small payments for administration purposes. The decisions of the trustees shall, however, remain binding.
Accounts
- Accounts shall be maintained for the charity in accordance with the Charities Act 1993 relevant to the income/expenditure levels of the charity; the Treasurer shall bear principle responsibility for the maintenance of these accounts.
- The Treasurer shall have authority to maintain such bank accounts as he or she shall deem necessary. All three trustees shall be sole signatories on the account; however, in most cases only the treasurer shall deal with income and expenditure.
Personal interest
- Except with the prior written approval of the Charity Commissioners no trustee or associate may:
- receive any benefit in money or in kind from the charity;
- have a financial a financial interest in the supply of goods or services to the charity;
- This does not apply to the payment to any trustee or associate of reasonable out-of-pocket expenses needed for the business of the charity.
Amendment
- The trustees may amend the provisions of this deed provided that:
- no amendment be made to clauses 2,3,18,21,22 or 23 without the prior written approval of the Charity Commissioners;
- no amendment may be made which would have the effect of the charity ceasing to be a charity at law.
- Amendments to the constitution shall require the unanimous approval of all the then current trustees
- The trustees must:
- promptly send a copy of any amendment made to the Charity Commissioners;
- keep a copy of any such amendment with this deed.
Dissolution
- If the trustees decide that it is necessary or advisable to dissolve the charity, they shall realise any assets held by or on behalf of the charity. Any assets remaining after the satisfaction of any proper debts or liabilities shall be given or transferred by the trustees to such other charitable institution or institutions having objects similar to the objects of the charity as the charity trustees may decide, or, failing that, shall be applied by the charity trustees for some other charitable purposes. Part or all of such assets may also be given to the Societies Syndicate of Cambridge University to administer with a view to the object of the charity.
